6. Client Responsibilities
Clients must provide accurate content, timely feedback, approvals, credentials, and other information necessary to complete the project. Delays in providing required materials may affect delivery timelines.
7. Intellectual Property
Upon full payment, ownership of the final approved deliverables transfers to the client unless otherwise agreed. NexaCore LLC retains ownership of pre-existing tools, frameworks, templates, and methodologies used during development.
8. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties except where required by law or with written consent.
9. Website & Software Development
Project timelines are estimates and depend on timely client feedback. Any additional features requested after project approval may require a revised quotation and timeline.
10. Digital Marketing & SEO
NexaCore LLC provides digital marketing, SEO, PPC, and social media services based on industry best practices. We do not guarantee specific rankings, traffic, leads, or sales because results depend on search engine algorithms, market competition, and other external factors.
11. Ghostwriting & Publishing
Ghostwriting projects remain confidential. Upon full payment, clients receive the rights specified in the service agreement. Publishing services include only the deliverables outlined in the proposal. Platform approvals and third-party publishing decisions remain outside NexaCore LLC’s control.
12. Third-Party Services
Some services may rely on third-party providers including hosting companies, payment gateways, domain registrars, cloud providers, Amazon KDP, Google, Meta, or other publishing and marketing platforms. NexaCore LLC is not liable for interruptions or policy changes made by these third parties.
13. Project Delays
Delays caused by the client, including failure to provide content, approvals, or required access, may result in revised delivery schedules.
14. Disclaimer
All services are provided on an “as available” and “as is” basis. While we strive to deliver high-quality solutions, NexaCore LLC does not warrant that every service will be uninterrupted, error-free, or suitable for every business purpose.
15. Limitation of Liability

16. Termination
Either party may terminate a project in accordance with the agreed contract. Fees for completed work remain payable, and completed deliverables will be released upon settlement of outstanding balances.
